Important notes: In addition to the body text, this service agreement also includes the 「Futubull Service Agreement」, 「Privacy Policy」, 「Futubull Community's General Management Rules」, and any supplement, list or appendix to this service agreement (hereinafter collectively referred to as 「this agreement」). Please read carefully and fully understand the provisions of this agreement, especially the parts in bold font. You confirm that you have the full capacity for civil conduct to read, confirm and accept this agreement and to use the service hereunder.
1. Futu Page, Futu Institution Account, and Futu Media Account (individually, 「Futubull Verified Account」; collectively, 「Futubull Verified Accounts」) are channels designed for legal persons or unincorporated entities (including companies, work units, institutions, etc.) (「you」 or Users」) to use the relevant Internet services provided by Futu in their own names. With a Futubull Verified Account, you are entitled to services such as account setting and management, content publishing and management, community interaction, and private messaging (the 「Services」).
2. This Agreement is entered into between the Users (or 「you」) and Shenzhen Futu Network Technology Co., Ltd. (including other related members of the Group engaging in the operation of any website or application) (collectively, 「Futu」 or 「we」) regarding the verification and use of Futubull Verified Accounts and the Services. By applying for verification of and using any Futubull Verified Account in any form, you acknowledge that you have read, understood and agree to be bound by this Agreement. If you do not agree to any provision of this Agreement, you may choose not to apply for verification of or use any Futubull Verified Account.
3. When you use a certain service, separate agreements, business rules, etc. (collectively, the 「Separate Agreements」) may apply. Please read and agree to the Separate Agreements before using such service. By using such service, you acknowledge that you accept the Separate Agreements.
1. Opening and verification of Futu Page
(1) You need to open a Futu Page before you can use the Services. After you open your Futu Page, you shall apply to get it verified according to our guidelines. Once your application is approved, your Futu Page will be officially verified.
(2) When applying to get your Futu Page verified, you are required to enter verification information and provide supporting materials in a truthful manner according to our approval process and requirements, and designate a person responsible for the operation of your Futu Page. After you submit the application, we will review the above information and materials, including the applicant information form, business registration certification, authorization letter for verification application, account information, information about the person responsible for the operation of your Futu Page, etc.
2. Opening and verification of Futu Institution Account and Futu Media Account
(1) You need to open a Futubull account before you can use the Services. After you open your Futubull account, you can apply to get it verified as a Futu Institution/Media Account on our verification platform for Futu Institution/Media Account.
(2) When applying to get your Futubull account verified, you are required to enter verification information and provide supporting materials in a truthful manner according to our approval process and requirements, and designate a person responsible for the operation of your Futu Institution/Media Account. After you submit the application, we will review the above information and materials, including the applicant information form, business registration certification, authorization letter for verification application, account information, information about the person responsible for the operation of your Futu Institution/Media Account, etc.
3. A Futubull Verified Account is effective for 365 days upon verification, and shall become invalid automatically after expiration. You need to initiate and complete an annual review 30 days ahead of the expiration date. If you fail to complete the annual review in time or the annual review fails, the Futubull Verified Account will become invalid after the expiration date, and the rights and benefits thereunder will be terminated.
4. Where necessary, you may be asked to provide additional materials such as trademark registration certificates to make sure that the nickname, profile photo, homepage, etc. you may set for your Futubull Verified Account(s) comply with the relevant laws and regulations and will not infringe the legitimate rights and interests of any other third parties.
5. Please keep your account information and password safe. You shall be liable for any activities under your Futubull Verified Account(s). If you suspect any unauthorized access to your Futubull Verified Account(s) or other abnormal circumstances, please notify Futu immediately.
6. You have the right to close your Futubull Verified Account(s) according to the account closing process specified by Futu. If you have been logged out of your account for a long time, Futu has the right to reclaim it in case of a waste of resources, and you shall be liable for any loss arising therefrom.
7. You agree that Futu shall, and authorize Futu to, inquire or verify your information through relevant agencies or organizations before and during the service period.
1. Futubull Verified Accounts are among the many types of accounts provided by Futu for our users. Therefore, in addition to this Agreement, you shall also comply with the 「Futubull Terms of Use」, 「Futubull Community General Management Rules」, 「Futu Privacy Policy」, and other rules related to Futubull Verified Accounts (the 「Special Rules」). In the event of any conflict between this Agreement and the Special Rules, this Agreement shall prevail.
2. Special provisions on intellectual property protection: You agree and confirm that Futu is granted a worldwide, free, permanent, irrevocable, non-exclusive, sublicensable, and full authorized license regarding the content you upload on your Futubull Verified Account(s). The scope of such license includes the legal use of such content for commercial or non-commercial purposes, and the reproduction, promotion, distribution, and dissemination of such content in part or in whole. However, unless otherwise authorized by you, Futu shall not modify or adapt such content in part or in whole.
1. Any content that you create, reproduce, publish, and disseminate when applying for verification of or using your Futubull Verified Account(s), including but not limited to the content generated during the process of applying for verification of or using your Futubull Verified Account(s), shall strictly comply with the relevant laws and regulations, the provisions of this Agreement, and the Special Rules.
2. You understand and agree that Futu is committed to providing a legal, orderly, civilized, and positive Internet environment. You shall abide by the relevant terms of use issued by Futu, and shall not use your Futubull Verified Account(s) to directly or indirectly engage in any conduct that violates the laws and regulations of the PRC and social morality. You shall not use your Futubull Verified Account(s) to create, upload, reproduce, publish, disseminate, or share the following content, or Futu has the right to delete and block it, and take such measures as required against your Futubull Verified Account(s):
a. Content that violates the laws and regulations of the PRC;
b. Content that infringes others’ legitimate rights, including right to reputation, portrait right, intellectual property right, ownership of commercial secrets, etc.;
c. Content that involves others’ privacy, personal information or data;
d. Content that contains harassing information, spam or sex, or is sexually provocative;
e. Advertisements that do not comply with the relevant laws and regulations of the PRC, including but not limited to those that are prohibited in the PRC, and that have not been but are required to be examined by the relevant authorities before they are published pursuant to the relevant laws and regulations; or
f. Any other information that violates the laws and regulations, policies, public order, or social morality, disrupts the normal operation of Futu, or infringes the legitimate rights and interests of other users or any third parties.
1. For the purposes of Futubull Verified Accounts, Futu has the ownership, and applicants have only the right of use. Such right of use shall not be granted, borrowed, lent, transferred, or sold.
2. You shall designate a person responsible for the operation of your Futubull Verified Account(s) and provide Futu with such person’s real name, mobile phone number, ID card, and other identity proof. Futu has the right to verify the identity of such person.
3. The person responsible for the operation of your Futubull Verified Account(s) manages the daily operation of your Futubull Verified Account(s), including but not limited to account login, password retrieval, security verification, daily communication, account verification application, daily account operation, etc. The person in charge can be changed during your use of Futubull Verified Account(s), and a process to validate such change shall be completed according to our guidelines. After an application for change is submitted and during the approval process, you can still use your Futubull Verified Account(s), and the person in charge will not be changed until your application is approved.
4. We strongly suggest that you properly keep your account and password. You and Futu are jointly responsible for maintaining the security of your account. Futu will take and continually update technical measures to ensure your account security on our server-side. You are also required to take certain measures to ensure your account security, which include but are not limited to keeping your account and password properly, installing anti-virus and anti-Trojan software, and changing your password regularly. When not using your Futubull Verified Account(s), you should log out in a safe manner.
5. You agree not to disclose your account or password information to any third party in whatever circumstances. You shall be solely liable for possible unauthorized access to your account (including but not limited to account or password theft) or information and data leakage due to your failure to keep your account and password properly. You understand and agree that Futu has the reason to believe that any activities under your account are conducted by you unless you explicitly inform Futu of unauthorized access to your account or information and data leakage by filing a complaint or otherwise and provide supporting materials.
6. If you suspect any unauthorized access to your account or password, you agree to notify Futu immediately. If the Futubull Verified Account you are using is not the one you initially applied for or is not acquired through other means provided by Futu but you know its password, you shall not log in to or operate such account. Instead, you shall notify Futu or the entity who initially applied for the account as soon as possible. If Futu finds that you are not the entity who initially applied for the account, Futu has the right to terminate your use of the account without any notice.
7. For protecting the legitimate rights and interests of the listed company in a timely manner, if there is any dispute over the rights and interests of the listed company's Verified Account (Futu Page), Futu has the right to take relevant protective measures, including but not limited to temporarily restricting or prohibiting the use of part or all of functions of the account, deleting or blocking relevant content, etc., according to the situation, until the competent authority makes an effective judgment or the relevant parties have reached an agreement on the dispute without violating this Agreement, and the relevant legal consequences arising therefrom shall be borne by the relevant parties themselves.
8. If you violate the provisions of the relevant laws and regulations, this Agreement, and the Special Rules, Futu has the sole discretion to restrict, freeze or terminate at any time, or to resume, your use of your Futubull Verified Account(s). You shall be solely liable for any loss (including but not limited to interruption of communication, loss of user and other data, etc.) arising therefrom.
9. You shall be solely responsible for your failure to log in to your Futubull Verified Account(s) for such reasons as your account was stolen or you forgot your password. You can file a complaint to Futu by sending an email to sns@futunn.com. However, Futu does not guarantee that you will be able to retrieve your account by filing a complaint.
You understand and agree that in order to provide you with efficient services, Futubull Verified Accounts will consume resources such as the processor and bandwidth of your device and may incur data traffic costs. You should ask your carrier about the charges and bear the costs.
1. You use your Futubull Verified Account(s) at your own risk. These risks, which are beyond Futu’s control, include but are not limited to:
a. Information loss or leakage possibly due to inevitable factors such as attacks from computer viruses, Trojan horses, hackers, or other malicious programs;
b. Failures of your or Futu’s computer software, systems, hardware, and communication lines;
c. Your use of Futubull Verified Account(s) in improper or unauthorized manners;
d. Futubull Verified Account(s) login failure, incomplete data synchronization, slow page loading speed, etc. due to unstable network signals and other factors;
e. Service suspension or interruption due to changes in the relevant laws, regulations and policies;
f. Other circumstances that are beyond Futu’s control or cannot be reasonably predicted.
2. You understand and agree that the content you publish on your Futubull Verified Account(s) may be reproduced, shared, modified, or used for other purposes by other users or third parties in a way out of your expectations and control. You should be fully aware of such risks and shall not publish any information that you do not intend to be accessed by others on your Futubull Verified Account(s). If you find that your legitimate rights and interests are infringed, you may file a complaint to Futu and we will deal with it in accordance with the law.
3. By entering into this Agreement, Futu obtains the right to deal with content or conducts that violate the laws and regulations. However, such right does not constitute Futu’s obligation or commitment. Futu does not guarantee to identify or deal with any violation of the laws and regulations in a timely manner.
4. You understand and agree that, where necessary for business development, Futu reserves the right to unilaterally change, suspend, restrict, terminate, or cancel the services under Futubull Verified Accounts in part or in whole at any time without any notice at your own risk.
5. You understand and agree that Futubull Verified Accounts only serve as platforms for you to share, disseminate, and acquire information, and that you shall be liable for all activities under your Futubull Verified Account(s), including any of your posts and any conducts of the person(s) in charge of the account(s), as well as all consequences arising therefrom. You shall evaluate the content published on Futubull Verified Account on your own, and bear all the risks arising out of your use of such content, including the risks arising out of your reliance on the correctness, completeness, or applicability of such content. Futu shall not be liable for any loss or damage due to the aforementioned risks.
1. If Futu finds that, or receives complaints from others claiming that, you have violated the provisions of this Agreement and the Special Rules, it has the right to delete and block the relevant content at any time without notice, impose penalties as required, including but not limited issuing warnings, deleting part or all of your followers, restricting or banning your use of part or all of the features, and permanently banning your account, and announce such penalties as imposed on you. Futu also has the right to decline to provide services to you in accordance with the provisions of this Agreement and the Special Rules. If you find anyone violating the provisions of this Agreement or using Futubull Verified Accounts improperly, please file a complaint to Futu immediately, and we will take measures in accordance with the law.
2. You understand and agree that you shall be solely liable for any third-party claims, requests, or losses arising out of or in connection with your violation of the provisions of this Agreement or related service terms, and you shall also compensate Futu for any losses incurred due to the above reason.
1. By using Futubull Verified Accounts, you acknowledge that you have read and agree to be bound by this Agreement. Futu has the right to amend the provisions of this Agreement when necessary. The latest version of this Agreement can be found on the relevant service page. In the event of any amendment, by continuing to use Futubull Verified Accounts, you agree that you have accepted the amended Agreement. If you do not accept the amended Agreement, you should stop using the services under Futubull Verified Accounts.
2. This Agreement is entered into in Nanshan District, Shenzhen of the People's Republic of China.
3. The execution, validity, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of China Mainland (without regard to conflict of laws).
4. Any disputes arising between you and Futu shall be resolved through amicable negotiation first. If such negotiation fails, both parties agree to refer them to the competent people’s court in the place where this Agreement is entered into.
